These Terms of Sale apply to the purchase of products, equipment, machinery, parts, vehicles, livestock-related products, and other goods offered by Rapid Dawn Industrial through https://rapiddawnindustrial.co.za/ or through a written quotation, email, telephone discussion, or other agreed sales channel.
Please read these terms before placing an order or accepting a quotation. By placing an order, accepting a quotation, making payment, or taking delivery or collection of goods, you agree to these Terms of Sale, together with any product-specific written terms or quotation that applies to your purchase.
Nothing in these terms limits or excludes a right or remedy that cannot lawfully be limited or excluded under applicable South African law.

The seller is referred to in these terms as Rapid Dawn Industrial, “we”, “us”, or “our”. Rapid Dawn Industrial buys and sells farming equipment, industrial machinery, tractors, harvesting equipment, trailers, trucks, vehicles, forklifts, implements, parts, generators, irrigation equipment, and related goods.

Products and listings
We aim to describe products accurately. Product listings may include the product name, photographs, category, price, stock code, location, condition, specifications, and other information available when the listing is published.
Products may be new, used, refurbished, demonstrator, surplus, or otherwise described in the relevant listing or quotation. Used and second-hand equipment may show ordinary signs of use, wear, age, repair, modification, repainting, or storage. Prices and VAT
Prices are displayed in South African Rand unless otherwise stated. Some listings may display prices excluding VAT, and other listings may display a price that includes VAT. The applicable VAT treatment and total amount payable will be confirmed on the quotation, invoice, or checkout before payment.
Unless expressly stated otherwise, the customer is responsible for applicable delivery, collection, loading, off-loading, transport, insurance, customs, duties, registration, licensing, and other additional charges.
Prices and availability may change before an order is accepted. We will not change the agreed price after accepting an order except where the change is permitted by law or agreed with the customer.

Product availability
Products may be one-off items or limited-stock equipment. A product appearing on the website is not necessarily reserved for a customer until Rapid Dawn Industrial has accepted the order or issued written confirmation.
If a product becomes unavailable before order acceptance, we may notify the customer and offer an alternative arrangement, subject to the customer’s agreement.
For unique used equipment, an item may be sold through another channel before a website order is confirmed. We will take reasonable steps to keep listings current.

Quotations and enquiries
A quotation may specify the product, condition, price, VAT treatment, delivery or collection charges, payment requirements, quotation validity period, and any special terms.
Unless the quotation states otherwise:
- A quotation is an invitation to place an order and is not an acceptance of an order;
- A quotation is valid only for the period stated on it;
- A quotation is subject to product availability;

Placing an order

An order is accepted when Rapid Dawn Industrial sends written confirmation, issues an invoice or order confirmation, or otherwise confirms that the sale has been accepted. Automated acknowledgement of an order or enquiry does not necessarily mean that the order has been accepted.
The customer must provide accurate information, including name, business or company details where applicable, contact details, billing information, delivery address, and any information required to arrange transport or collection.

Payment
Payment must be made using a payment method approved or made available by Rapid Dawn Industrial. The payment method, deposit requirement, balance, payment deadline, and any payment-processing charges will be stated on the checkout, invoice, quotation, or order confirmation.
For high-value, special-order, used, or heavy equipment, Rapid Dawn Industrial may require a deposit or full payment before preparation, loading, dispatch, or collection.
Payment is not treated as received until cleared funds are received by Rapid Dawn Industrial or the relevant payment provider confirms the transaction.
We may delay dispatch or collection if payment is incomplete, reversed, disputed, or not cleared. We may cancel or suspend an order where payment is not made by the agreed deadline, subject to applicable law and the customer’s legal rights.

Fraud and payment security
Customers should use only the payment details confirmed by Rapid Dawn Industrial through an official communication channel. If bank details change, verify the change independently with Rapid Dawn Industrial before making payment.
We may request reasonable information to verify an order or prevent fraud. We will not ask a customer to disclose a payment-card PIN, online-banking password, or one-time security code by email or telephone.

Delivery, transport, and collection
Delivery arrangements are governed by the applicable quotation, order confirmation, and Rapid Dawn Industrial’s Shipping & Delivery policy.
Because machinery and equipment vary in size, weight, location, condition, and handling requirements, delivery charges and timeframes are generally confirmed for the specific order. Delivery is not included in the product price unless expressly stated.
The customer must provide an accurate delivery address and disclose access restrictions, loading or off-loading requirements, farm or remote-site conditions, low bridges, narrow roads, and other information that could affect transport.
The customer may be responsible for suitable off-loading equipment and personnel unless the written quotation states otherwise. Additional transport, storage, waiting, failed-delivery, or re-delivery charges may apply where caused by inaccurate information, inaccessible premises, unavailable off-loading equipment, or customer delay, to the extent permitted by law.
Customer collection may be available by prior arrangement. The customer must ensure that the collecting vehicle, trailer, loading equipment, tie-downs, insurance, and personnel are suitable for the product.

Inspection at delivery or collection
The customer or authorised receiving person should inspect the goods at delivery or collection where reasonably possible.
Any visible damage, shortage, incorrect item, or transport issue should be recorded on the delivery or collection document and reported to Rapid Dawn Industrial as soon as possible. Photographs and transport documents should be retained.
The customer should not operate machinery until it has been safely inspected, installed, commissioned, and tested as appropriate for the product and the customer’s intended use.

Risk and ownership
Risk in the goods passes as determined by the applicable written quotation or order agreement and, where no different term is agreed, when the goods are delivered to the customer or collected by the customer or the customer’s carrier.
Ownership in the goods passes only after Rapid Dawn Industrial has received full cleared payment, unless applicable law or the written agreement provides otherwise.
Until ownership passes, the customer must take reasonable care of the goods and must not sell, pledge, alter, or dispose of them except with Rapid Dawn Industrial’s written permission.

Used and second-hand equipment
Used equipment is sold according to its stated condition and the written terms applicable to the sale. The customer is responsible for making reasonable enquiries and, where practical, arranging an inspection or independent assessment before purchase.
The customer should confirm, before payment:
- The equipment’s make, model, year, stock code, serial number, and specifications;
- Operating hours, mileage, service history, and condition where available;
- Any known defects, repairs, modifications, missing parts, or limitations;
- What attachments, accessories, tools, manuals, or documents are included;
- The location of the equipment; and
- Whether the equipment is suitable for the customer’s intended use.
These provisions do not remove any non-excludable statutory rights or protections.

Warranties and manufacturer support
A product is supplied with the warranty, guarantee, manufacturer support, or other assurance expressly stated in the product listing, quotation, invoice, or written agreement.
If no express warranty is stated, the customer should not assume that a used machine, vehicle, implement, or other equipment includes a manufacturer warranty, service plan, guaranteed performance period, or after-sales maintenance arrangement.
Any non-excludable statutory warranty or consumer protection remains applicable.

Returns, cancellations, and refunds
Returns, cancellations, refunds, and exchanges depend on the type of product, the reason for the request, the order status, the written agreement, and applicable South African law.
The customer should contact Rapid Dawn Industrial before returning or transporting any product. A return must not be arranged without written instructions because machinery and heavy equipment require specialised handling and transport.

The customer is responsible for ensuring that equipment is used safely, lawfully, and in accordance with applicable operating instructions, safety standards, licensing requirements, workplace rules, and manufacturer recommendations.
The customer must arrange appropriate inspection, servicing, installation, training, protective equipment, and professional advice where required. Rapid Dawn Industrial does not provide professional engineering, legal, tax, financing, farming, or operational advice unless expressly agreed in writing.

Product information and suitability
The customer is responsible for satisfying itself that the product is suitable for the customer’s intended application, site, tractor or vehicle compatibility, capacity, power requirements, regulatory requirements, and operating conditions.
Information supplied by Rapid Dawn Industrial is provided in good faith based on information available to us. Customers should verify technical specifications and obtain an independent inspection or professional advice where the purchase is high-value, specialised, safety-critical, or otherwise material.

Limitation of liability
To the maximum extent permitted by law, Rapid Dawn Industrial will not be liable for indirect, incidental, special, or consequential loss, loss of production, loss of profit, loss of revenue, loss of use, or business interruption arising from a delay, breakdown, failure, misuse, or inability to use a product.
